These Terms of Service ("Terms") govern the provision of web development, integration, and related services by softwarefusionhouse, Calle de Serrano 12, 28006 Madrid, Spain ("we", "our", or "us") to any individual or entity ("Client") engaging our services.
1. Scope of Services
softwarefusionhouse provides bespoke web development, full-stack application engineering, third-party software integration, API architecture, cloud infrastructure provisioning, and related digital services as described in individual project proposals and statements of work.
2. Project Engagement
Each project begins with a discovery phase and concludes with a written proposal. No work commences until the Client receives and accepts the proposal. Any modifications to scope must be agreed in writing via a change order.
3. Pricing and Payment
All prices are quoted in Euros (EUR) unless otherwise stated. Payment terms are defined in the project proposal. Invoices are payable within 14 days of issuance. Late payments may incur a 1.5% monthly interest charge. All fees are exclusive of applicable VAT (IVA).
4. Intellectual Property
Upon full payment, the Client receives full ownership of all custom code, designs, and deliverables created specifically for the project. Third-party libraries, frameworks, and tools remain subject to their respective licenses. softwarefusionhouse retains the right to use general methodologies, patterns, and non-proprietary knowledge.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement for a period of three (3) years.
6. Limitation of Liability
To the maximum extent permitted by law, softwarefusionhouse's total liability shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. We shall not be liable for indirect, consequential, or incidental damages including lost profits, data loss, or business interruption.
7. Warranties
We warrant that all services will be performed in a professional and workmanlike manner consistent with industry standards. A 30-day post-delivery warranty period covers defects in workmanship. Issues arising from third-party services, client modifications, or external factors are excluded.
8. Termination
Either party may terminate the agreement with 14 days' written notice. The Client remains responsible for payment of all work completed up to the termination date. Any deposits paid are non-refundable unless the termination is caused by softwarefusionhouse.
9. Governing Law
These Terms are governed by the laws of Spain. Any disputes shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.

This Refund & Reimbursement Policy applies to all services provided by softwarefusionhouse, Calle de Serrano 12, 28006 Madrid, Spain.
1. Cancellation Before Work Begins
If the Client cancels a project before any work has commenced, a full refund of any advance payment will be issued within 14 business days, minus any non-recoverable administrative or transaction fees.
2. Cancellation During Active Project
If the Client cancels a project after work has begun, the Client is responsible for payment of all work completed up to the cancellation date, calculated proportionally based on project milestones. Deposits are non-refundable.
3. Milestone-Based Refunds
For milestone-based projects, if softwarefusionhouse fails to deliver a completed milestone by the agreed deadline and cannot provide a revised delivery date within 14 days, the Client may request a refund for that specific milestone.
4. Post-Delivery Warranty
All projects include a 30-day post-delivery warranty period. During this period, softwarefusionhouse will remedy any defects in workmanship at no additional cost. The warranty does not cover:
- Issues caused by client modifications to delivered code.
- Third-party service changes or API deprecations.
- Browser compatibility issues not specified in the original proposal.
- New feature requests or scope additions.
5. Subscription and Retainer Services
Monthly retainer or subscription services may be cancelled with 30 days' written notice. Refunds for the current billing period are not available once the period has begun. The Client retains access to services until the end of the billing period.
6. Refund Process
To request a refund, the Client must contact softwarefusionhouse at [email protected] with the project name, invoice number, and reason for the refund request. Refunds are processed within 14 business days of approval and issued via the original payment method.
7. Dispute Resolution
In the event of a dispute regarding refunds, both parties agree to attempt resolution through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to the competent courts of Madrid, Spain.
